Partner terms.

The rules for resellers and referring agencies: what you earn, when you are paid, and how you promote Provley.

Partner terms.

Version 2, 3 November 2026. These terms apply to everyone in the Provley partner programme, alongside our terms of service and privacy notice.

1. About these terms

1.1 These terms are between you and Prodro Group Limited, trading as Provley, registered in England and Wales, company number 17268651, of 71 to 75 Shelton Street, London, WC2H 9JQ ("we" or "us").

1.2 The programme's routes are described on our partners page. Resell: an agency buys Provley at a discount and bills its own clients, under Provley's brand or its own. Refer: an agency introduces clients who sign up and pay us, and earns a commission.

1.3 The programme is for businesses and people acting in the course of a business. You must be 18 or over.

1.4 If these terms and our terms of service conflict on anything about the programme, these terms apply.

2. Joining the programme

2.1 You join by applying on our partners page. You agree to these terms when you apply, and they start to bind us both when we approve you in writing.

2.2 We decide whether to approve an application and do not have to give a reason.

2.3 Our approval email confirms your route or routes, your link and commission rate where they apply, and, for resellers, your price list. An agency may resell some clients and refer others, but each client earns either a discount or a commission, never both.

2.4 You are an independent business. Nothing in these terms makes you our employee, agent or partner in law, and you may not make promises or sign anything on our behalf.

3. Resell

3.1 As a reseller you buy Provley subscriptions for your clients' websites at a discount on our list price of £149 a month per website. Your discount is set in your price list, which comes with your approval, and rises as you add client sites.

3.2 You set your own price to your clients and keep the difference. You are responsible for your own contract with each client, for billing them, and for any tax on what you charge.

3.3 We send you one bill each month for all the client sites on your agency account. It is payable within 14 days. If a bill is unpaid after that, we may pause the sites it covers until it is paid.

3.4 Your clients' use of Provley is covered by our terms of service. You must make sure every client, and everyone you invite to their sites, uses Provley in line with them. You must have each client's authority to register their website and act for them, and you are responsible for activity on your agency account.

3.5 You give your clients first-line support. We support you, and we may contact a client directly where we need to for security, legal or billing reasons.

3.6 Credits bought beyond the plan's allowance are charged at the standard £25 per 1,000. Discounts apply to the subscription only.

3.7 Your price list is confidential (see section 7).

4. Refer: commission

4.1 We give you a link that identifies you. A customer is credited to you when they sign up for a paid Provley plan through your link within 90 days of first clicking it, and they were not already a paying Provley customer in the 90 days before. If they have clicked more than one partner's link, the last link clicked before sign-up counts.

4.2 Refer earns commission at the rate in your approval email, as a percentage of the customer's subscription fees, for every month they stay a paying customer, for as long as you remain in the programme.

4.3 Commission is calculated on the subscription fees we actually receive, after any refunds, credits or discounts and excluding VAT. It is not paid on credits, on the website audit or on any other one-off charges.

4.4 No commission is paid on your own subscription, on a business you own or control, on anyone who signs up using false details, or on customers gained in breach of these terms.

4.5 If a payment we received is refunded or reversed after we have paid you commission on it, we may deduct that commission from your next payment.

4.6 Your account shows the customers credited to you and the commission they have earned. If you think a customer has been missed, tell us within 60 days of their sign-up and we will check.

5. Payment

5.1 Commission is held for 30 days after the payment it comes from, to allow for refunds. After that it becomes payable.

5.2 We pay commission monthly, by bank transfer, once your payable balance is over £50. A smaller balance carries over to the next month. There is nothing to invoice.

5.3 You must give us accurate payment and tax details. You are responsible for declaring and paying any tax on your commission. If you are registered for VAT, tell us and we will agree how VAT is handled before we pay you.

5.4 Resellers are not paid commission. They earn their margin under section 3.

6. How you promote Provley

6.1 Describe Provley accurately and only as it is described on our website. In particular, never say or suggest that Provley guarantees an AI assistant or Google will name, cite or rank a website. It does not.

6.2 Make it clear that you earn from recommending Provley, wherever you do. In the UK this means following the CAP Code and the Advertising Standards Authority's guidance on affiliate marketing, for example by labelling posts as an ad.

6.3 You may not bid on "Provley" or any similar term, or any misspelling of it, in search or social advertising; register or use a domain, account name or handle that contains it; or present yourself as Provley or as acting for us.

6.4 You may not send unsolicited marketing, use spam, cookie stuffing, incentivised or fake sign-ups, or place your link anywhere it is not allowed, and you must follow UK direct marketing law, including the Privacy and Electronic Communications Regulations.

6.5 We give you a non-exclusive, revocable licence to use the Provley name, logo and the marketing kit we send you, only to promote Provley under these terms and in line with any brand guidance we give you. You may not change our logo.

6.6 Do not place your link or our name on sites or content that are unlawful, misleading, hateful or adult, or that infringe anyone's rights.

7. Data and confidentiality

7.1 Each of us is responsible, as a separate controller, for the personal data we each collect and use, and must handle it lawfully. We use the details you give us to run the programme, as set out in our privacy notice.

7.2 You must have a lawful basis to share any client or contact's details with us, and tell them that you are doing so.

7.3 Price lists, discounts, commission rates in your approval email and anything else we mark as confidential stay confidential, during and after the programme, unless the law requires otherwise.

8. Changes and ending

8.1 We may change these terms, the routes or the rates by giving you at least 30 days' notice by email. Changes do not affect commission already earned or a reseller's price for the current monthly bill. If you do not agree, you can leave before the change takes effect.

8.2 Either of us may end your participation at any time with 30 days' notice by email.

8.3 We may end it straight away, and withhold commission linked to the breach, if you seriously or repeatedly break these terms, act dishonestly, or harm Provley's reputation.

8.4 When your participation ends: your link stops working; we pay commission already earned and payable under section 5, except commission withheld under section 8.3; Refer commission stops for all your customers, who stay our customers; and resellers must either move their client sites onto direct Provley subscriptions, with each client's agreement, or close them by a date we agree.

9. General

9.1 Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence or for fraud.

9.2 Subject to 9.1, neither of us is liable to the other for loss of profit, revenue, business or goodwill, or for indirect loss. Our total liability to you under these terms in any 12 months is limited to the commission paid, or the reseller discount given, to you in those 12 months.

9.3 You may not transfer your rights under these terms without our written agreement.

9.4 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
